Preamble
The mission of Climate Insiders is to allow natural or legal persons to become members of its private investor community in order to allow them to indirectly subscribe to securities issued by companies seeking capital.
Climate Insiders will pre-select investment opportunities, publish them on its website, make its collection and subscription services available to Startups (as this term is defined in Article 1 below) and at the disposal of its subscribing members the information enabling them to make their investment decision. Climate Insiders will then keep members who have actually subscribed regularly informed of the situation of the companies in which they have invested.
Article 1 - Definitions
“Climate Insiders” designates the company Climate Insiders, a limited company with capital of €1, whose head office is located at Ahtri 12, Attn E-Residency Hub OÜ, 10151, Tallinn, Estonia and registered in Estonia under number 16886170
“Kapital” means Kapital.inc (https://kapital.inc/), operated by HackVentures Ltd., a subsidiary of the HackGroup SA with offices in Switzerland and Luxembourg. We provide Financial Advisory Services under the Swiss Financial Service Act and Luxembourg based issuer services under the Securitisation Act 2004 & the Fiduciary Act 2003. Kapital is a service provider of Climate Insiders, handles investment transactions, SPV, . By using the Climate Insiders Services, you acknowledge and also agree to the Terms & Conditions, Privacy Policy, Risk Disclaimer, Sustainable Finance, Non-Disclosure and Investor Accreditation terms and statements described on this page https://www.kapital.inc/legal/terms-conditions. Your ongoing use of our Services following any revision of these Terms signifies your acceptance of any changes made. Please check this page periodically for updates.
“Terms of Use”means these general conditions of use.
"FICI" means the Key Investment Information Sheet, as referred to in Article 23 and Annex I of European Regulation 2020/1503.
“Participatory Capital Financing” designates a financial operation to increase capital intended to ensure the financing of a growing company.
“Internet user” designates any person browsing the Site without having completed the registration process. For the avoidance of doubt, the Internet user is not a Member.
“Member” designates the natural or legal person who has completed the registration process, whose registration has been validated by Climate Insiders allowing them to have access to the pages with restricted access and who wishes to use the Services.
“Subscribed Amount” means the amount paid by a Subscriber as part of a Crowdfunding Offer.
“Crowdfunding Offer” means the crowdfunding offer presented by a Startup.
“Subscription Period” designates the Subscription phase during which the Member having indicated an intention during the Intention Period must actually subscribe to the financial securities of the SPV in question and release your Subscription through Kapital, as described in Article 4.2.
“Intention Period” designates the intention phase during which each Member may indicate an intention to subscribe to financial securities of the SPV in question, as described in 'Article 4.2.
“Risk Questionnaire” designates the standard model of warnings and questions relating to the risks inherent in Crowdfunding Offers which any Internet user must respond to obtain the status of Member.
“Services” means all the services offered by Climate Insiders and described in Article 4.
“Site” means the Climate Insiders website accessible at the following address: https://www.climateinsiders.com
“Subscriber” means any Member who makes a Subscription and pays the corresponding Subscribed Amount.
“Subscription” designates the commitment made by a Subscriber to participate in a Crowdfunding Offer.
“SPV” designates the investment vehicle intended to bring together Subscribers and allow Startups to simplify the management of their shareholding by having only one representative representative the interests of all Subscribers.
“Startups” designate the companies seeking Participatory Capital Financing presented on the Site.
1. Acceptance of the Conditions of Use
By browsing the Site, the Internet User accepts the Conditions of Use without reservation. In the absence of acceptance of the Conditions of Use, the Internet user understands that he must not use the Site in any way whatsoever.
These Conditions of Use must be considered as those applicable at the time of their acceptance, whether tacit or express.
The Conditions of Use apply without limitation of duration subject to Article 11, during the entire duration of navigation on the Site, and in the case of a Member, during the duration of use of the personal space and until new conditions supersede these or termination under Section 11.
2. Registration
Climate Insiders is obliged to restrict access to certain information presented on the Site, in particular the detailed presentation of the different Crowdfunding Offers. This information appears on Kapital, in your “login” area https://app.kapital.inc/login, to which only Members and Subscribers have access.
To become a Member, the Internet user must (cumulatively and without possible exemption):
create a personal account on the Site, acquire and pay for a membership, complete the different fields of the registration form on the Site, confirm your acceptance of the Conditions of Use,
Registration is only effective after satisfaction of all the conditions mentioned above and acceptance of the profile by the Climate Insiders team. Climate Insiders reserves the right to accept or refuse any registration, without any obligation to justify its decision or any compensation.
By completing the registration form, the Member guarantees to Climate Insiders that he has provided accurate, truthful, up-to-date and complete information concerning his identity, contact details and all additional information requested.
The Member is invited, in particular, to provide an email address which will be used for:
- The entire Member identification process (in particular, to access their personal account)
- Confirmation of transactions carried out by the Member on their personal account
- Communicating any information concerning their personal account to Members
- Providing all information relating to the use of the Services available on the Site.
In the event that the Member wishes to modify their means of identification, they simply need to go to the Site and modify their parameters in the "My Account" section or contact Climate Insiders by email at the following email address: support@climateinsiders.com.
To the extent that their means of identification have reached the hands of third parties through their fault, the Member will be solely responsible for any use of these means of identification and the use of the Services made accordingly.
The Member undertakes to constantly keep the information provided to Climate Insiders up to date in the context of the use of the Site by informing Climate Insiders of all changes that may affect their declarations by email at the following address: support@climateinsiders.com.
3. Access to the Site
The following will be available to Internet users on the public pages of the Site:
- The Conditions of Use
- Legal mentions
- The privacy policy
- The risks linked to investments on the Site
- The page explaining the complaints process
- The link to the general conditions of Kapital
- The remuneration (fees) received by Climate Insiders
- The presentation of Climate Insiders, its operation, and its selection policy
- The indication of its contact details and its approval number with the Financial Markets Authority.
All information presenting the Crowdfunding Offers and access to the personal space and restricted access pages of the Site are exclusively reserved for Members.
To become a Member, the Internet user, whether a legal or natural person, must first pay for their membership and then request it on the Site by following these steps:
- Complete a questionnaire that allows Climate Insiders to verify the suitability of the Member's profile with the type of risk presented by the Crowdfunding Offers. The adequacy test will be renewed annually or before the deadline if the Member informs Climate Insiders of any changes in their family situation, assets situation, financial situation, or investment objectives. These changes could significantly affect the results of the last adequacy test.
- Provide additional information regarding their identity, such as date of birth, address, tax residence, etc.
- Submit the requested supporting documents in electronic format through the Kapital Site interface. For natural persons, this includes a copy of a valid identity document, and for legal entities, it includes a proof of residence that is less than three (3) months old, certified statutes, a copy of a valid identity document of the legal representative, and a declaration of beneficial owners.
Once this information is collected via Kapital, Climate Insiders will take care of the rest.
To carry out the necessary checks for member identification and to verify the compatibility of the member's profile with the crowdfunding offers.
Once the member has completed all of the above steps and Climate Insiders has validated them, the member will be notified of their confirmation or denial of obtaining member status. This notification will be sent, whenever possible, within twenty-four (24) working hours from the day on which all the aforementioned information was provided on the site.
The member is solely responsible for any use that may be made of their private access (username and password), the sole guarantor of their security, as well as for any use of their account.
The member undertakes to inform Climate Insiders immediately of any unauthorized use of their account and any breach of confidentiality and security of their means of identification, by email to the following email address: support@climateinsiders.com
If Climate Insiders has legitimate reasons to believe that the security of the site is compromised or that it is misused due to unauthorized use of the member's means of identification, it may temporarily suspend the account in order to preserve the integrity of the site and the data, and, if this appears appropriate, to require the modification of these means of identification.
The member acknowledges having the skills and means necessary to access and use the site.
4. Description of Services
The services offered to Members are as follows:
- Access Startup profiles (referred to as "Service 1").
- Invest in an SPV dedicated to acquiring a stake in a target Startup (referred to as "Service 2").
- Access the notice board which facilitates the resale of your participations (referred to as "Service 3").
- Access the events organized by Climate Insiders (referred to as "Service 4").
Climate Insiders provides Members with access to economic and financial information published on its Site. This information pertains to Startups that wish to raise funds and offer investors the opportunity to participate in the fundraising process. Investors typically make an investment as part of a capital increase. More details on these offerings can be found in the FICI document associated with each Crowdfunding Offer on the Site.
4.1 Service 1: Startup presentation service
4.1.1 Presentation of Service 1
Climate Insiders provides a service that involves presenting general information on startups who wish to raise funds to its members on its site.
To present a startup on its site, Climate Insiders enters into a service provision agreement with each startup. This agreement specifies the conditions and terms of the startup's presentation and its crowdfunding offer to members.
Climate Insiders conducts a preliminary study and analysis of each startup and its crowdfunding offer.
4.1.2 Absence of financial investment advice
Members are informed that Service 1, as referred to and governed herein, is solely defined as an activity of providing general information on the Startup.
Therefore, under no circumstances may a Member consider that Service 1 provided by Climate Insiders can be assimilated in any way to a financial investment advisory service governed by Article L. 321-1 and D. 321-1 of the Monetary and Financial Code. In this regard, Members, by registering, acknowledge and accept that:
- The Service 1 provided does not fall within the scope of a financial investment advisory activity, as governed by the provisions of the Monetary and Financial Code.
- Member access to Service 1 does not constitute a personalized investment recommendation in any way.
- Climate Insiders will not provide any advice to Members and will not monitor investments made by Members through Service 1.
Climate Insiders informs throughout the Member's navigation on the Site that investing involves risks of total or partial loss of the capital invested.
It is up to each Member, when considering making an investment in a Startup presented on the Site, to ensure, through their own due diligence, studies, and analyses, and where applicable, those of informed and competent professionals, that this investment is part of their investment strategy and corresponds to their personal, financial, asset, and tax situation.
It is therefore recommended that each Member, in addition to the tests carried out on the Site, carry out a precise and detailed analysis for each investment envisaged in a Startup:
- Assess their financial capacity to bear the economic risk of the planned investment.
- Ensure they have sufficient means to meet their current and future needs and those of their family and loved ones.
- Confirm that they do not have a liquidity need with regard to the planned investment.
4.1.3 Knowledge of the general principles of wealth management
The Member expressly declares to know and apply the essential rules of asset management concerning investment in the capital of unlisted companies, including the following principles:
- Do not invest more than 10% of your assets excluding real estate in this asset class.
- Do not invest savings that could be necessary in the short or medium term.
- Diversify your investments as much as possible within this asset class, so that each investment never represents more than 10% of the invested portfolio.
- The return on investment depends on the success of the funded project.
These general points are recalled for information purposes, without characterizing any obligation towards Climate Insiders.
4.1.4 Fight against Money Laundering - KYC
Service 1 offered by Climate Insiders is limited to presenting Startups and their Crowdfunding Offer to Members. Members are informed that Climate Insiders is not a financial intermediary legally required to comply with regulations related to the fight against money laundering, financing of terrorism, and tax fraud.
However, Climate Insiders reserves the right to request information from any Member, either upon membership or later, as required by regulations related to the fight against money laundering, financing of terrorism, and tax fraud.
As such, Climate Insiders reserves the right to request the production of the following documents:
- Copy of a valid identity document
- Copy of proof of address less than three (3) months old
- Form on the origin of one's income and assets
- If the Member is a legal person, a kbis extract less than three (3) months old, copy of their last accounts, and the list of beneficial owners.
4.2 Service 2: Invest in an SPV dedicated to acquiring a stake in a target Startup
Subscription is carried out via SPVs created by Climate Insiders. The Climate Insiders team takes care of legally creating the SPV so that Members can take a stake in it. It is then this same SPV created for the occasion that takes the stake in the Startup.
Service 2 will take place in two (2) phases: an intention phase during which each Member will be able to indicate an intention to subscribe to financial securities from the SPV dedicated to acquiring an interest in a Startup (the "Period of Intention") and a Subscription phase during which the Member who indicated an intention during the Period of Intention must actually subscribe to the financial securities of the SPV dedicated to the acquisition of a stake in a Startup and release their Subscription through the intermediary of Kapital (the "Subscription Period").
In the event that at the end of the Intention Period, the intentions expressed by all Members exceed the maximum amount to be invested in the SPV dedicated to taking an interest in a Startup, Climate Insiders will select the Members who can participate in the Crowdfunding Offer.
Furthermore, Members holding an intention at the end of the Intention Period who have not actually subscribed to the financial securities of the SPV dedicated to taking an interest in a Startup and released their Subscription through Kapital within eight days following the start of the Subscription Period may be excluded from the Crowdfunding Offer, and the investment fees provided for in Article 5.2 will remain due to Climate Insiders.
It is specified that Subscribers deemed "uninformed" following the Risk Questionnaire will benefit from a reflection period during which they may, at any time, revoke their investment offer or their expression of interest for the Crowdfunding offer without giving a reason and without incurring a penalty. The reflection period begins at the moment when the uninformed potential Subscriber makes an investment offer or signals their expression of interest and expires after four (4) calendar days from that moment.
Kapital will create a payment account called a "wallet" to be funded by Members by bank card, transfer, or direct debit in order to validly indicate an intention to subscribe to financial securities of the SPV dedicated to the acquisition of a stake in a Startup. In the event of Subscription, the Subscriber's Subscribed Amount will be directly debited from their wallet. Therefore, before making a Subscription, the Member must ensure that they have the money available in their wallet.
During the Subscription Period, the funds will be placed in a segregated and secure payment account hosted by Kapital and not accessible by the Startup, the SPV, or Climate Insiders.
4.3 Service 3: Access the notice board Climate Insiders plans to create a notice board where Members can announce their interest in selling or buying all or part of the financial securities of SPVs dedicated to the acquisition of participation in Startups which were initially offered via the Site.
This solution is not yet open to Members.
4.4 Service 4: Access events organized by Climate Insiders will create a tool allowing its Members access to events organized by Climate Insiders.
Climate Insiders does not guarantee a volume of events and Members understand that they may not have access to any events if no events are created by Climate Insiders.
5. Climate Insiders remuneration
The Services offered by Climate Insiders are expensive. The pricing conditions applicable to Members are recalled below.
5.1 Membership
Registration as a Member on Climate Insiders is paid and valid for one (1) year. The costs of this registration, thus allowing the Member to access the Climate Insiders network and participate in events organized by Climate Insiders, depend on the formula chosen:

Payment for the offer is made exclusively by bank transfer or credit card directly on the Site, using the secure payment module.
At the end of the period of one (1) year, the membership ends and the rights linked to it are stopped.
5.2 Investment Fees
Kapital charges an investment fee of 3% per SPV to compensate for their SPV services, including the subscription of securities and intermediation activities. The fee is indicated on their site https://www.kapital.inc/legal/terms-conditions.
The fee is calculated as a percentage of the amount for each investment made under Service 2.
5.3 Fees on Capital Gains
Climate Insiders receives a commission of 20% on the amount of each capital gain realized by Subscribers in the following cases:
- when the SPV created to make the investment sells its participation and realizes, where applicable, a capital gain;
- when the Subscribers, within the framework of Service 3 or outside it, realize a capital gain upon the sale of their participation.
6. Climate Insiders' commitments and liability
Climate Insiders undertakes to provide the Services in accordance with the Terms of Use. Climate Insiders undertakes to provide the Services diligently, with the understanding that it has an obligation to make an effort, excluding any obligation to achieve a specific result, which the Member expressly acknowledges and accepts.
Climate Insiders does not guarantee that the Services will be completely free from errors, defects, or interruptions, or that they will be continuously available. Additionally, the Services are standard and are not offered solely for the benefit of a Member, based on their personal constraints, or to specifically meet their individual needs and expectations.
Under no circumstances can Climate Insiders be held responsible for the data, information, and/or content provided by a Startup, whether or not accessible to the public. Climate Insiders is not responsible for the accuracy or completeness of said data, information, or content, nor for any errors or omissions they may contain. Furthermore, Climate Insiders cannot be held liable for damages resulting from the use of any content displayed or transmitted by electronic mail or any other means via the Site.
Climate Insiders only verifies the consistency of the FICI and, for this purpose, relies on the assumption that the data transmitted by Startups is accurate and complete.
Climate Insiders has no general obligation to monitor the data and content provided by Members or Startups, nor any obligation to delete content that is not clearly illegal, despite its possible reporting. However, Climate Insiders reserves the right to delete content posted by Members or Startups if it does not comply with the publication criteria defined by Climate Insiders.
In general, Climate Insiders reserves the right to modify any information appearing on the Site at any time and without notice, as part of its updates or the correction of errors or inaccuracies.
Climate Insiders is not responsible for the content of third-party websites to which hypertext links on the Site refer.
Climate Insiders undertakes to:
(i) use its best efforts to ensure the security of the Site;
(ii) inform the Member of any reasonably foreseeable difficulty, in particular with regard to the implementation of the Services or the proper functioning of the Site; And
(iii) carry out regular checks to verify the operation and accessibility of the Site.
Climate Insiders reserves the right to modify at any time the technical terms of access to the Services and/or the Site depending, in particular, on developments in technology or its service offering. It is up to the Internet user, the Member and the Subscriber, each as far as they are concerned, to ensure that the IT or telecommunications tools or equipment available to them are adapted to these developments.
Climate Insiders cannot be held responsible for damage resulting from the behavior of third parties, in particular contractual or tortious breaches committed by Startups (whether in the use of the sums collected, in compliance with the rules applicable to their relationship with Subscribers as part of the Crowdfunding Offer or subsequently) or by Kapital.
7. Disclaimer
7.1 No guarantee of the information contained on the Site. The Member expressly acknowledges and accepts that Climate Insiders does not guarantee any information on the financial transactions presented on the Site. All information is presented by the Startup and is its exclusive responsibility. The data is based on information believed to be reliable, but Climate Insiders makes no representation that it is accurate, complete or valid and such information should not be relied upon as such for any purpose. It is up to Members to gather and verify all the information they deem useful in making an investment decision. Climate Insiders only verifies the consistency of the FICI and for this purpose relies on the assumption that the data transmitted by Startups is accurate and complete.
All content appearing on the Site is presented on the date indicated therein and “as is”. The content of the Site may be subject to delays, omissions, errors or inaccuracies.
The posting of the valuation on the Site does not in any way constitute a guarantee of the value of the company, and it is up to Members to gather all the information they consider necessary to make a judgment on the proposed valuation. and determine the opportunity for an investment.
The Member acknowledges having been informed that, unless otherwise stated, the Crowdfunding Offers proposed on the Site do not give rise to an information document subject to approval by the Financial Markets Authority.
The Member expressly acknowledges that no advice and no information, whether oral or written, obtained by the Member from Climate Insiders or when using the Site is likely to create guarantees or obligations not expressly provided for by these Terms of Use.
7.2 No guarantee of investments made through the Site
The Member expressly acknowledges being fully aware that any investment in the capital of Startups presents a high risk of losing the entire capital invested and having no liquidity at the end of the desired investment period.
The Member has exclusive control over the management of their assets and retains full responsibility for their investments. It is up to them to determine their investments and make informed decisions, considering their personal, family, property, financial, and tax situation.
The Member acknowledges that any investment made and discovered on Climate Insiders carries significant risks for their assets, as mentioned above, and declares to accept them without reservation for each of the investments they make through the Site.
The Member expressly and irrevocably undertakes to refrain from investing in financial products presented on the Site if (i) the Member considers that the available information is insufficient to fully assess the investment opportunity, (ii) the Member considers that their understanding of the offered financial product and the associated risks is insufficient, (iii) their personal, family, property, financial, and tax situation does not allow them to invest calmly considering the risks presented by the financial product in which they plan to invest.
In any event, Climate Insiders cannot be held responsible for any inappropriate investment, and Climate Insiders declines all responsibility for the consequences of any nature, particularly financial, legal, and tax, resulting from subscribing to financial securities.
8. Commitment and responsibility of Members
Compliance with the regulations in force. The Member declares to strictly comply with all legal, regulatory and administrative provisions applicable to it and the violation of which could affect its ability to undertake within the framework of the Services.
Accuracy of the information provided. The Member undertakes to provide Climate Insiders with all the information and/or documents necessary for the proper execution hereof for the provision of the Services and more generally, to actively cooperate with Climate Insiders for the proper execution of these presents. If the Member does not comply with this obligation, Climate Insiders reserves the right to suspend the Services until the required information or documents are obtained. The Member guarantees to Climate Insiders that all the information and documents he provides to Climate Insiders are accurate, up to date and sincere on the day they are communicated to Climate Insiders and are not tainted by any misleading or misleading nature. In error. If the information and/or documents provided become inaccurate or obsolete during the term of the Conditions of Use, the Member undertakes to update them and/or transmit an updated version of the documents concerned on the Site as soon as possible . More generally, it is up to the Member to formally notify Climate Insiders of any change in information concerning them. Climate Insiders is not responsible for any damage that may result from an inaccuracy or a change of which it was not notified.
Protection of personal access codes. The passwords and identifiers allowing access to the Member's personal account are personal, the Member undertakes not to disclose them and to protect its confidentiality. As such, the Member is solely responsible for their use and any use of the Site by a third party with the identifiers of a Member is deemed to be made under their responsibility and with their agreement.
Personal use of the Site and Services. The Member undertakes to make strictly personal use of the Site and Services, and not to allow any third party to use them for in his place or on his own behalf, unless he bears full responsibility. The Member understands and accepts that Climate Insiders assumes that the person who uses (unless prior notification from the Member to Climate Insiders indicates otherwise) the Site and the Services in the name and on behalf of the Member, has the required powers and authority. to do it. The Member undertakes to, if an event leading to the use of the Site by a third party or any other unauthorized person should occur, immediately inform Climate Insiders.
Confidentiality commitment. The Member will have access to detailed information on the Startups presented on the Site. The Member undertakes to Climate Insiders, for the entire duration of his registration on the Site, and up to two (2) years after his unsubscription, to (i) not disclose to a third party, in whole or in part, information considered confidential, that is to say accessible from the Site only after identification, without the agreement of Climate Insiders and the Startup concerned; (2) not use this information for any purpose other than studying the advisability of investing in the Startups presented on the Site and through it; (3) not take a direct stake in the Startup under penalty of having your membership terminated. Membership in Climate Insiders entails the obligation to take stakes in the Startups offered through the SPVs created by Kapital.
Use of the Site and Services. The Internet user and the Member undertake, each as far as they are concerned, to: (i) not violate or attempt to violate , scan or test the vulnerability of the security system and related systems of the Site; (ii) not access or attempt to access any data that is not intended for the Internet user or the Member; (iii) refrain from interfering with the normal operation of the Site or carrying out any action which could cause the interruption or degradation of one or more Services; (iv) not upload, post, email or otherwise transmit any material that contains software viruses or other computer code, files or programs designed to interrupt, destroy or limit the functionality of the Site; and (v) not attempt to interfere with the Services of any other Member or user, host or network, including, but not limited to, exposing the Services to a virus, creating a server overload, flooding the server , flood messaging services.
The Member acknowledges having read the characteristics and constraints, particularly technical, of all the Services. The Member is solely responsible for his or her use of the Services. The Internet user and the Member are informed and accept, each as far as they are concerned, that navigation on the Site and use of the Services require an Internet connection and that the quality of the Services may depend on this connection as well as equipment. computers and/or third-party software, for which they are solely responsible.
9. Protection of personal data and confidentiality policy
As part of the use of the Site, Climate Insiders collects personal information about its Members. Climate Insiders undertakes to respect the legislation in force relating to the protection of privacy with regard to the automated processing of personal data such as these notions and this regime are provided for by Regulation (EU) 2016/679 of the European Parliament and the Council of April 27, 2016 relating to the protection of individuals with regard to the processing of personal data and the free movement of such data, and repealing Directive 95/46/EC (GDPR).
Climate Insiders undertakes to keep any personal information provided through this means confidential. This information is intended exclusively for Climate Insiders for internal processing purposes and will under no circumstances be transferred to third parties for commercial use. This information and data are also kept for security purposes, in order to comply with the legal and regulatory obligations to which Climate Insiders is subject. This data is processed and stored by the Site host identified in the legal notices appearing on the Site under conditions aimed at ensuring their security.
Climate Insiders reserves the right to anonymously use the personal information collected, as well as technical and navigation information, such as browser type, Internet protocol address, pages visited and average time spent on the Site, for all activities related to the analysis and promotion of the Site.
The Member is informed that the data concerning him may be disclosed in application of a law, a regulation or by virtue of a decision of a competent regulatory or judicial authority or to a service provider (in particular Kapital) in application of a law, a regulation or by virtue of a decision of a competent regulatory or judicial authority or, if this proves necessary for Climate Insiders, in the context of a legal procedure or an audit of a supervisory authority.

10. Intellectual property
Climate Insiders owns the Site, both in its technical and graphic, textual or other components, excluding the content provided by the Members themselves and by the Startups.
Climate Insiders is therefore the sole owner of all intellectual property rights relating to the Site, its content as well as the databases ensuring its operation, and use of the Site does not give Members any rights over any of these elements, subject to the rights relating to the content provided by the Members themselves and by the Startups.
Acceptance of these Conditions of Use constitutes recognition by Internet Users and Members of Climate Insiders’ intellectual property rights listed above and the commitment to respect them.
11. Duration and termination
Access to the Site is valid for an indefinite period from the Member's acceptance of the Conditions of Use, subject to the provisions outlined in this Article.
Termination by the Member. The Member can terminate their Climate Insiders membership at any time by sending an email to the following address: support@climateinsiders.com. After termination, the Member will no longer have access to the Site and its restricted access pages, will be unable to use the Services, and will not be entitled to reimbursement of any costs as specified in Article 5.
However, the Member will still be obligated to fulfill the requirements regarding capital gains upon the transfer of a participation, as stated in Article 5.3 of these Conditions of Use, until they hold at least one share of an SPV created by Climate Insiders.
Automatic Termination. Without prejudice to any damages that Climate Insiders may claim, Climate Insiders reserves the right to suspend or terminate the Member's access to the Services and the restricted access pages of the Site at any time. Climate Insiders may also terminate the contractual relationship resulting from the acceptance of the Conditions of Use automatically, without notice, compensation, or reimbursement of any costs as specified in Article 5. This may occur in the event of:
- Circumvention or attempted circumvention of technical protection measures implemented by Climate Insiders.
- Provision of false, misleading, or inaccurate information during registration for the Services or while using the Services.
- Dissemination or use of information provided in the personal space in a manner contrary to its intended purpose.
- Fraud or attempted fraud during registration for the Services or while using the Services.
- Total or partial non-payment of the remuneration owed to Climate Insiders, as specified in Article 5.
- Non-compliance with any of the commitments outlined in these Terms of Use.
- Actions that are unfair or contrary to the commercial interests of Climate Insiders.
In both cases of termination, the Member will still have access to their personal space to monitor Subscriptions made prior to the effective date of termination.
12. Complaints
In the event of a complaint concerning the Site and the Services, the Internet user or Member must comply with the process described on this link.
Climate Insiders undertakes to assess and process the admissibility of the request as quickly as possible.
13. Contract integrity
If one or more of the clauses of the Terms of Use were declared invalid pursuant to a law, regulation or following a final decision of a competent court, the other clauses will retain all their force and scope to the extent taken by the said decision.
Clauses declared null and void will, in accordance with the spirit and purpose of these presents, be replaced by other valid clauses, which, in view of their scope approximate to the fullest extent permitted by law, the clauses declared null and void.
14. Modification of the Conditions of Use
The Conditions of Use may be modified by Climate Insiders at any time and without notice.
These modifications will be notified by any means that Climate Insiders deems appropriate, and in particular by email.
If the Member does not object within ten (10) days, these modifications will be considered approved and will take effect on the date specified in the notification sent to the Member.
15. Proof
The sending and content of the correspondence or communication are established by simple production of a copy thereof by Climate Insiders.
16. Applicable law
These Conditions of Use are subject to Estonian law. Given the global dimension of the Internet network, each Member is invited to comply with all rules applicable in the country where they reside.
If the laws of a country prohibit the activity of Climate Insiders under the conditions provided for in the Conditions of Use, the Member undertakes not to use the Services offered by Climate Insiders.
